Sysco to Buy Jetro Restaurant Depot

Sysco Corporation (SYY) agreed to acquire Jetro Restaurant Depot, a move the company said would create a preeminent multi-channel foodservice distribution platform.

The announcement did not specify a purchase price, an exchange ratio, or a cash-versus-stock mix. It also did not state an expected closing date or list regulatory conditions.

Sysco framed the transaction as a step into a broader distribution footprint that spans more than a single channel. The company’s stated rationale centered on combining its existing foodservice operations with Restaurant Depot’s cash-and-carry model to build a larger multi-channel platform.

That channel mix has been a recurring theme in Sysco’s public commentary on the Restaurant Depot deal. In March, the company described the acquisition as a way to expand into a high-margin, growing, and resilient cash-and-carry channel.

In May, Sysco hosted an investor event on the Restaurant Depot acquisition. The company’s forward-looking statements at that event covered expected timing and completion, anticipated benefits including synergies, and plans for the combined company’s operations, leadership, share repurchases, dividend, credit ratings, and leverage.
