Bank7 to Buy Century Financial in $91 Million Cash Deal

The Oklahoma City bank holding company said the purchase would create a combined Southwest organization with about $3.4 billion in assets.

Bank7 Corp. (BSVN) agreed to acquire Century Financial Services Corporation for $91 million in cash, completing a court-supervised sale that began when the Oklahoma City lender stepped in as stalking-horse bidder in July.

The parent of Oklahoma City-based Bank7 had entered a definitive stock purchase agreement on July 2 to buy an approximately 71% controlling interest in Century, the Santa Fe, New Mexico-based holding company for Century Bank, with shares sold by a court-appointed receiver in a receivership proceeding in the U.S. District Court for the District of Arizona. The September announcement put a price on that controlling stake and moved the expected close into the fourth quarter.

Upon completion, the transaction would create a combined Southwest banking organization with approximately $3.4 billion in total assets. Bank7, which operates twelve locations in Oklahoma, the Dallas/Fort Worth, Texas, metropolitan area and Kansas, said the deal extends its footprint into an attractive and adjacent New Mexico market, with a heavy focus on Santa Fe, contiguous to its existing Oklahoma, Texas and Kansas markets.

Century Bank, founded in 1887, operates nine branches across New Mexico and two loan production offices in Texas. As of March 31, 2026, it reported total assets of $1.35 billion, total deposits of $1.22 billion and gross loans of $826 million. The acquisition deploys excess capital accumulated over time into a franchise-enhancing purchase that is expected to generate stronger long-term returns than buybacks, dividends or organic growth alone.

If Bank7’s effort is successful, the Century brand will be retained, and customers will continue working with their longtime bankers.

The July agreement had been subject to higher or otherwise better offers through a competitive bidding and auction process, for which Bank7 held a matching right, as well as court approval. Completion remains subject to required bank regulatory approvals and customary closing conditions.
